GENIUS TEAMCARE LIMITED
\nTERMS AND CONDITIONS OF BUSINESS FOR GENIUS TEAMCARE FRANCHISES
\n1. GENERAL. All works carried out by GENIUS TEAMCARE LIMITED and its franchise
\nbusinesses including, JOINERYFX LTD (hereinafter referred to as \u201cthe Company\u201d) are carried out subject to the following
\nterms and conditions.
\n2. ESTIMATES. All estimates given by the Company are an estimate of the probable cost of
\nthe works instructed by the customer (hereinafter referred to as \u201cthe works\u201d) based on the
\nCompany\u2019s experience of the works. Estimates include labour and materials. Should the
\nworks turn out to be more complicated than originally anticipated then the Company shall be
\nentitled to increase the estimate to take account of this. The Company will inform the customer
\nas soon as possible regarding any increase in the estimate. Without prejudice to the forgoing,
\nshould the trade price of materials increase between acceptance of the estimate and the
\ncompletion of the works then the estimate may be increased as a result thereof.
\n3. PAYMENT. The Company will usually issue an invoice on completion of the works.
\nHowever, where the works last for a period in excess of 28 days then the Company shall be
\nentitled to issue interim invoices as and when they may become necessary. Payment of any
\ninvoice is due within 28 days of the date of the invoice. For commercial clients the Company
\nwill charge an administration fee and interest for non payment in harmony with The Late
\nPayment of Commercial Debts (Scotland) Regulations 2015. Should any invoice not be paid
\nwithin the said time limit then the Company reserves the right to terminate the work instructed
\nand shall remain entitled to the full amount owing for the works as may have already been
\ncarried out.
\n4. JOINT AND SEVERAL LIABILITY. Where the work is instructed by more than one party
\nit is understood that all parties instructing the work shall be joint and severally liable for all
\ndebts incurred to the Company.
\n5. GUARANTEES. Where written guarantees are to be issued by the Company these shall
\nonly be issued upon the full completion of works and upon the full payment of all sums
\noutstanding to the Company by the customer. Guarantees will be valid for a maximum of five
\nyears and will not cover normal wear and tear. No liability whatsoever is accepted in respect of
\ngoods supplied by the Company, which have been manufactured by a third party. The Company
\nwill extend to the customer any rights, which the Company may have against the manufacturer.
\n6. DEPOSIT. The Company may, at it\u2019s sole discretion be entitled to demand security in the
\nform of a deposit prior to the carrying out of the works. Should the customer fail to deliver the
\nsaid deposit then the Company shall be entitled to suspend or terminate the works without any
\nliability therefore.
\n7. DRAWINGS AND SPECIFICATIONS. Where the customer supplies drawings and\/or
\nspecifications to the Company, the Company gives no warranty as to the suitability of the said
\ndrawings and shall not have any liability for any loss suffered by the customer as a result
\nthereof.
\n8. TERMINATION. Should the customer breach these terms and conditions, or should the
\ncustomer for any reason become in the sole opinion of the Company unable to pay any sums
\nowed by him or her to the Company, then the Company shall be entitled to terminate the works
\ninstructed with no liability being on the Company.
\n9. CANCELLATION. Should the customer cancel the works at any point, the Company shall
\nbe entitled to charge for all works already carried out and for all goods which have been ordered
\nby the Company in anticipation of the works and which cannot be returned with the costs
\nthereof being fully refunded to the Company.
\n10. TIMING. Estimates for the works are calculated using the best cost of labour and materials
\navailable and not by estimated date of completion. Where the customer requires the Company to
\ncomplete the works by any given date, such date must be provided and accepted by the
\nCompany before the works commence and the Company shall be entitled to increase the
\nestimate to take account of this.
\n11. INTERPRETATION. These terms and conditions are governed and shall be interpreted
\naccording to the Law of Scotland.
